These Terms of Service ("Terms") govern your access to and use of the My Genie platform at mygenie.tech and any related services (collectively, the "Service"), operated by Apex AI Systems, LLC ("Company," "we," "us," or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

My Genie is an AI-powered business management platform that provides:

• AI-driven business operations management and automation
• Customer relationship management (CRM) including contact, pipeline, and opportunity tracking
• Business intelligence through automated data analysis and reporting
• Third-party integrations (email, calendar, scheduling, and other business tools)
• Automated communications and follow-up workflows

Features and availability may vary by subscription tier. We reserve the right to modify, suspend, or discontinue any feature with reasonable notice.

3. Account Registration

To use the Service, you must:

• Provide accurate, complete, and current registration information
• Maintain the security and confidentiality of your account credentials
• Promptly notify us of any unauthorized use of your account
• Be at least 18 years of age

You are responsible for all activities that occur under your account, whether or not authorized by you.

4. Subscription and Billing

Subscription Plans

The Service is offered on a subscription basis. Plan details, pricing, and included features are described on our website or as communicated during onboarding. All fees are quoted in U.S. dollars.

Payment

You agree to pay all fees associated with your selected plan. Payments are processed through our third-party payment processor. You authorize recurring charges to your payment method on file.

Refunds

Subscription fees are non-refundable except where required by law or as otherwise stated in a written agreement. If you cancel, you retain access through the end of your current billing period.

Price Changes

We may adjust pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful or fraudulent purpose
• Violate any applicable laws, regulations, or third-party rights
• Transmit viruses, malware, or other harmful code through the Service

Violation of these terms may result in immediate suspension or termination of your account.

You retain ownership of all data you submit to the Service ("Your Data"). By using the Service, you grant us a limited, non-exclusive license to use, process, and store Your Data solely to provide and improve the Service.

You are responsible for the accuracy and legality of Your Data. You represent that you have all necessary rights and consents to submit Your Data to the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate recommendations, insights, and automated actions. You acknowledge that:

• AI outputs are provided as recommendations and should be reviewed before acting on them
• We do not guarantee the accuracy, completeness, or suitability of AI-generated content for any specific purpose
• You are solely responsible for any decisions made based on AI-generated outputs
• AI features may produce unexpected results; critical business decisions should involve human review

The Service, including its design, code, features, documentation, and branding, is the property of Apex AI Systems, LLC and is protected by copyright, trademark, and other intellectual property laws.

Nothing in these Terms transfers any intellectual property rights to you. "My Genie" and related marks are trademarks of Apex AI Systems, LLC.

9. Third-Party Integrations

The Service may integrate with third-party applications and services. These integrations are subject to the third party's own terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, APEX AI SYSTEMS, LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR NEEDS.

13. Indemnification

You agree to indemnify and hold harmless Apex AI Systems, LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

14. Termination

Either party may terminate the subscription at any time. You may cancel by contacting us at the address below. We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity of the violation.

Upon termination, your right to use the Service ceases immediately. You may request export of Your Data within 30 days of termination. After 30 days, we may delete Your Data in accordance with our data retention policies.

15. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in the Commonwealth of Massachusetts.

You agree to waive any right to participate in a class action lawsuit or class-wide arbitration against us.

16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, United States, without regard to its conflict of law principles.

17. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" above and providing notice through the Service or via email. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
